Optional Information Gathering Checklist The ‘Optional Information Gathering Checklist’ is currently being updated in view of recent law changes. When referring to this document however, please be aware of the following: Regarding item 1 of the document, a fourth option is now catered for by the UKcorporator website, namely ‘Northern Ireland’. Regarding item 5 of the document, the comments in paragraphs (a), (b) and (c) at the foot of page 1 concerning prohibitions on sole directors also being the company secretary may be ignored. Regarding item 5 of the document, the requirement to provide ‘other directorships’ for proposed directors no longer applies. Also, a ‘service address’ should be provided for each director (which may or may not be the same as the residential address). Regarding item 6 of the document, company secretaries are no longer required for private companies limited by shares. Also, if a company secretary is wanted, a ‘service address’ should be provided (which may or may not be the same as the residential address). Regarding item 8 of the document (concerning Form 12 etc.) this may now be ignored. Regarding item 9 of the document, there is no longer any need to provide the total number of shares in any particular share class. Regarding item 12 of the document (concerning objects clauses) section 3A no longer applies. Under the current legislation (section 31(1) of the Companies Act 2006) unless a company’s articles of association specifically restrict the objects of the company, its objects are unrestricted.
